TERMS AND CONDITIONS FOR THE CNN/REPORTERS WITHOUT BORDERS VIDEO PSA CONTEST

These terms and conditions (the “Terms”) govern the entry into and participation in the contest to create a video public service announcement no longer than 50 seconds to potentially be broadcast on the network known as CNN (the “Contest”). The Contest is being operated by Reporters Without Borders (“RSF”) in association with Cable News Network, Inc. (“CNN”) (collectively the “Promoters”/ “We”).

If you enter the Contest you will be deemed to accept these Terms and any Additional Rules.

1. ELIGIBILITY TO ENTER THE CONTEST:

(i) To be eligible to enter the Contest you must be:

(a) 18 years of age or older. We may require you to show proof of your age at any stage of the Contest. We reserve the right to refuse to allow you to take part at any stage of the Contest if we believe that you are under the age of 18;

(b) A legal resident of the 50 United States and the District of Columbia;

(c) Enrolled full or part time in an accredited university located in the United States;

(ii) Employees, officers, directors and agents (and their immediate family and household members (whether or not related)) of Reporters Without Borders and/or CNN, and their respective parents, and/or subsidiaries (collectively, with the Promoters, the "Contest Entities") are not eligible to enter or win. Void wherever prohibited by law. Contest is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Contest, entrants agree to accept and be bound by all terms of these Official Rules and Regulations together with any additional rules and regulations (“Additional Rules”) which may be posted on the Reporters Without Borders’ website and/or the official Contest website (collectively, the “Official Rules”). We may in our sole discretion amend the Official Rules from time to time by publishing them on the official Contest website.

2. ENTERING THE CONTEST:

Participants must enter from 1:00 pm Eastern Time (ET) on October 17, 2011 through 11:59:00 pm ET on March 19, 2012 (“Promotional Period”). Entries received after the Promotional Period will not be included in the Contest. To enter participants should log on to http://en.rsf.org/videocontest, complete and submit the online entry form, including their name, preferred phone number (including the area code), e-mail address (if any), birth date, and concept narrative and video PSA. Together with all required documentation, the PSA shall be deemed the Entry. To be eligible each entry must be received by 11:59 pm ET on March 19, 2012. All entries must be submitted in the name of at least one (1) individual but may be submitted in the names of up to three individuals. The prize can only be awarded to the individual(s) whose name is/are on the winning entry. Limit one (1) entry per person. All Entries must comply with the Official Rules.

We will not acknowledge receipt of any Entry and any material submitted will not be returned. Late Entries will not be accepted and we accept no responsible for any Entries which have not been received due to any technical or administrative issues of any kind, including, without limitation, any issues with the official Contest website which may result in an Entry not being received.

By submitting your Entry you accept Official Rules. You must ensure that any and all the information you provide is true and accurate.

3. YOUR ENTRY REQUIREMENTS:

Your Entry must be an original video no longer than fifty (50) seconds answering the question “Why should we care about freedom of information?”

Entries must:

• include the Reporters Without Borders URL (www.rsf.org/us); • include the logos for Reporters Without Borders, CNN, and your University; • include the phrases: “Join us in the fight for freedom of information.” and “this message is brought to you by Reporters Without Borders with the help of the Ford Foundation and CNN.” With written permission (provided to Promoters with Entry) of an authorized representative of your University, you may also include your University’s name or logo.

4. LICENSE:

By submitting an Entry, participant grants Promoters and their respective designees the right, but not the obligation, to edit, remove, modify, publish, license, print, transmit, display or otherwise use the Entry and all elements of the Entry, including, without limitation, any names, likenesses or locations embodied therein, in whole or in part, via all forms of media now known or hereafter devised, worldwide in perpetuity, without notice to participant or any third party and without compensation, notification per permission. Participants hereby irrevocably grant Promoters and its designees and licensees the non-exclusive, perpetual, worldwide right to use the Entry, in whole or in part, alone or in combination with other material, or as a basis for new material, as Promoters may determine in their sole discretion and for the purposes of programming, advertising and marketing. Upon request of Promoters, Participants shall be required to execute documents necessary to perfect such rights in the Promoters.

5. WARRANTY:

By participating in the Contest, participant affirms, represents, and/or warrants that:

(i) Participant is the sole creator of the Entry or has the necessary licenses, rights, consents, and written permissions to use and authorize Promoters to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and Entry to enable inclusion and use of the Entry in the manner contemplated by the Promoters and these Official Rules;

(ii) Participant has the written consent, release, and/or permission of each and every identifiable individual person in the Entry to use the name or likeness of each and every such identifiable individual person (and, if a minor, his/her parent or legal guardian) to enable inclusion and use of the Entry in the manner contemplated by the Promoters and these Official Rules and can make written copies of such permissions available to the Promoters upon request;

(iii) Participant’s Entry is not copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless Participant is the owner of such rights or otherwise has permission from the rightful owner(s) to participate in the Contest and to make such Entry for the purposes intended by Promoters. Participant further agrees that he/she will not (i) publish falsehoods or misrepresentations that could damage Promoters or any third party; (ii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iii) post advertisements or solicitations of business; or (iv) impersonate another person.

Entries (a) must contain only content that, in the sole and unfettered discretion of Promoters, is suitable for a general audience; (b) must not, in the sole and unfettered discretion of the Promoters, contain any nudity, sexually explicit, disparaging, libellous, threatening, or other inappropriate content; (c) must not in the sole discretion of the Promoters, contain any commercial content that promotes any product or service other than the Promoters’; (d) must not contain or refer to any trademarks, copyrighted works or other intellectual property without permission. Any other elements appearing in the Entry, including without limitation stills, clip art, supers, or other materials (collectively, “Elements”) used must be entirely original, created and performed by participant, be in the public domain or be licensed from the applicable owners by participant. Use of any Elements or other materials that are not original to participant, not in the public domain or that have not been licensed from the applicable owners by participant may result in disqualification.

Entry must be the participant’s original creation and may not contain any third party material without the proper permissions. Entry may not have been published previously or won any other award, and the right to submit it must not be restricted. Entry cannot defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights including but not limited to copyrights or trademarks.

By submitting the Entry, participant agrees that his/her Entry conforms to these Official Rules, the Terms of Use and that Promoters, in its sole discretion, may disqualify his/her Entry for any reason, including if it determines, in its sole discretion, that his/her Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Promoters, in its sole discretion.

7. CHOICE OF FINALISTS & WINNER:

All Entries will be assessed based on a voting mechanic created for this Contest. Each Entry will be awarded points based on a combination of quality, messaging, creativity, impact and the content standards.

The Winning Entry will be chosen by a panel made up of representatives from media, CNN and Reporters Without Borders (the “Jury”) by the Jury in its sole discretion. The decision of the Jury will be final and no correspondence will be entered into.

8. PRIZE:

One Entry will be chosen as the Winning Entry. Subject to CNN’s editorial discretion at all times, the Winning Entry (as defined below) will be aired on CNN May 3, 2012. The creator(s) (up to 3 individuals) of the Winning Entry will be deemed the Winner(s). The Winner(s) will also receive a 3 day/2 night trip to New York City, New York on May 2, 2012 to participate in events during World Press Freedom Day, at an approximate retail value (“ARV”) of $1250 to $3750. The Prize includes the following: (a) round trip coach class airfare from the major U.S. gateway airport nearest the Winner’s residence to a New York City, New York area airport; and (b) double occupancy standard hotel accommodations (up to two rooms) at a hotel in the New York City area for two (2) nights (chosen by Promoters). Actual value of Prize may vary based on point of departure and number of people included in the Winning Entry. The Winner(s) is/are responsible for all costs and expenses not expressly provided for above, including ground transportation, meals, incidentals, tips, telephone calls, souvenirs, other personal expenses and hotel charges incurred during the trip. All travel arrangements must be made through RSF’s agent. Promoters reserve the right to approve any travel dates and trip must be taken May 2, 2012 – May 4, 2012 or this portion of the prize will be forfeited. Promoters are not responsible for any travel related delays or cancellations. Winner(s) is/are responsible for obtaining proper documentation (e.g., valid photo ID) prior to travel. All prize details are at Promoters’ sole discretion.

No substitution or transfer of prizes or cash redemptions permitted by the Winners. Promoters reserve the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, at their sole discretion. Prize is awarded “as is” with no warranty or guarantee, either expressed or implied by the Promoters. Winners are responsible for the reporting and payment of all taxes (if any) as well as any other costs and expenses associated with acceptance and use of prize not specified herein as being awarded.

9. GENERAL RULES AND REGULATIONS:

By entering this Contest, participants grant Promoters and their designees the right, unless prohibited by law, to use their names, cities and states of residences, voices, pictures and likenesses, without compensation, notification or approval, for the purpose of advertising and publicizing the goods and services of the Promoters and all matters related to the Contest, in any manner or medium, now or hereafter known, throughout the world in perpetuity. Winners may each be required to execute an affidavit of eligibility, liability release, tax acknowledgment form and, except where prohibited by law, a publicity release and return within five (5) business days of issuance of notification. Noncompliance within this time period or failure of potential winner to respond after three (3) notification attempts may result in disqualification and, at Promoters’ discretion, an alternate winner may be selected. If: (i) any prize or prize notification is returned as undeliverable, (ii) a potential Winner declines his or her prize, (iii) the potential Winner is unable to travel on dates approved by Promoters or (iv) a potential Winner fails to comply with any of the Official Rules as outlined herein, such potential Winner will be disqualified and an alternate winner will be selected based upon the selection criteria. The Promoters expressly disclaim any responsibility and participants agree to indemnify and hold harmless the Promoters from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Contest (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any of the prizes awarded (including any travel or activity related thereto).

Entries generated by script, macro or other automated means will be void. The Promoters are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person’s ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Promoters’ control, which corrupt the integrity, administration, security or proper operation of the Contest, Promoters reserve the right, in their sole discretion, to modify, cancel or suspend the Contest. In the event of cancellation, Promoters reserve the right to award prizes from among all eligible, non-suspect entries received prior to the event requiring such cancellation. False or deceptive entries or acts will render the entrant ineligible. All Entries become the property of the Promoters.
